Utica Camera Club Bylaws revised 3/05

ARTICLE I – NAME

Section 1 The name of this organization shall be The Utica Camera Club, hereinafter referred to as UCC.

ARTICLE 11-OBJECT

Section 1 The object of the UCC shall be to stimulate interest in, and promote knowledge and enjoyment of photography in the greater Utica area.

ARTICLE III – MEMBERSHIP

Section 1 Regular membership shall be open to any adult 18 years or older upon full payment of the annual dues, the amount to be established by the Executive Board (see Article VI). Dues for new members shall be 1/2 of the annual dues, for the first year of membership only.

Section 2 Student membership shall be open to qualified Hill time students upon payment on Vi the regular annual dues.

Section 3 Family memberships shall be available at special rates to be established by the Executive Board.

Section 4 Annual dues are payable on or before the first meeting in September. No member may participate in competition unless dues are paid in full.

Section 5 The UCC, by a vote of the membership, may bestow Honorary Membership, with full voting privileges and the right to hold office, upon any individual who has made an outstanding contribution to the UCC.

Section 6 No refund of dues shall be made upon the resignation of a member.

ARTICLE IV – OFFICERS

Section 1 The officers of the UCC shall be a President, a Vice-President, a Recording Secretary, a Corresponding Secretary a Treasurer, and three Directors, one of whom is to be the immediate past-president. These officers shall perform the duties prescribed by these by-laws.

Section 2 The duties of the Officers shall be as follows. The President shall conduct all meetings, appoint committees and Chairpersons of said committees as needed, appoint a nominating committee in October, and shall serve as an ex-officio member of all committees except the Nominating Committee. He/she shall also appoint someone to take minutes in the event the Recording Secretary is absent. The Vice-president shall carry out all duties of the President in the event he/she is absent or unable to perform said duties. The Recording Secretary shall take minutes of all meetings and report same to the membership at the next meeting. He/she shall also act as corresponding secretary and send notices, etc. as requested by the Executive Board. The Corresponding Secretary shall send notices, etc, as requested by the Executive Board. The Treasurer shall collect annual dues and expend club funds as authorized by the Executive Board. He/she shall also keep the list of members and shall notify the Competition Chairpersons of any who are not eligible to compete.

Section 3 The President shall, in October, appoint a Nominating Committee of three members, who shall have been members in good standing for at least two years. It shall be the duty of this Committee to nominate candidates for each office and for one Directorship, except as indicated in Section 4. The Committee shall present its slate at the last meeting in March, at which time nominations from the floor shall be permitted. The election shall take place at the final meeting in April. Nominations from the floor shall also be permitted at this meeting. In the event the March meeting is postponed, the slate shall be presented at the first meeting in April, with election of officers held at the following meeting.

Section 4 If a quorum is present, a majority of members present and voting shall, by ballot, elect the Officers to serve for one year, or until their successors are elected. Elected Directors (as opposed to the immediate past-president) shall serve for two years, except as follows. During the first year these By-Laws are in effect, the Nominating Committee shall present one Director to serve one year and the other to serve two years. For all subsequent elections, only one Director shall be elected, to a two year term. The terms of the elected officers and Directors shall begin at the Annual June Banquet Meeting. If there are no nominations from the floor, the President may direct the Recording Secretary to cast one vote for the proposed slate. In the event a quorum is not present, the vote shall be delayed until the next meeting at which a quorum is present.

Section 5 No member shall be elected to more than one office at a time. The President and the Directors are not eligible to serve more than two consecutive terms in those offices. The Vice -President, Recording Secretary, Corresponding Secretary and Treasurer may serve more than two consecutive terms.

Section 6 Vacancy of any office except President shall be filled by appointment by the Executive Board. In the event the Presidency is vacant, the Vice- President shall assume that position and the Executive Board shall appoint a V ice-President. The Executive Board shall also fill by appointment any vacancy among the Directors. These positions shall be filled for the duration of that term only.

ARTICLE V – MEETINGS

ARTICLE VI – EXECUTIVE BOARD

Section 1 The Officers of the UCC, the Immediate Past President, and two Directors shall constitute the Executive Board.

Section 2 The Executive Board shall have general supervision of the affairs of the UCC between its business meetings, fix the hour and place of meetings, make recommendations to the membership, and shall perform such other duties as are specified by these Bylaws. The Board shall be subject to the orders of the UCC and none of its acts shall conflict with action taken by the UCC.

Section 3 While there is no quorum of the Executive Board, any decision made by that group must be approved by at least four of its members.

ARTICLE VII COMMITTEES

Section 1 The President shall appoint Chairpersons of such committees as are deemed necessary to carry out the purposes of the UCC.

Section 2 The President shall be a member ex-officio of all committees, except the Nominating Committee.

ARTICLE VIII – AMENDMENT

Section 1 The Bylaws may be amended at any regularly scheduled meeting of the UCC at which a quorum is present by a two-thirds majority of the members present and voting, provided prior written notice of both the proposed amendment and date, time, and location of the meeting has been sent to all members at least one week before the meeting at which the vote is to be taken. Email notice shall not be considered written notice for purposes of informing members of an amendment to the Bylaws.

ARTICLE IX – PARLIAMENTARY AUTHORITY

Section 1 The rules contained in the most recent edition of Robert’s Rules of Order shall govern the UCC in all cases where they are applicable and in which they are not inconsistent with these Bylaws and any special rules or order the UCC may adopt.

ARTICLE X – EFFECTIVE DATE

Section 1 These By-Laws, when accepted, shall replace any and all existing By- Laws of the Utica Camera Club.

Section 2 These By-Laws, once accepted, shall be in effect immediately
